1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you ("you," "Client") and Iizuka Software Technologies Limited ("we," "us," "our"), concerning your access to and use of our website as well as any related software engineering and technology services provided. You agree that by accessing our platforms or engaging our services, you have read, understood, and agree to be bound by all of these Terms and Conditions.
2. Intellectual Property Rights
Unless otherwise indicated, our platforms are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us. Any materials, implementation strategies, or technical specifications, implementation frameworks, and deliverables developed by us during service provision remain our intellectual property unless otherwise stated in writing. The Client receives usage rights to final paid deliverables as set out in the relevant agreement.
3. Service Provision and Payment
We agree to provide software development, cloud, cybersecurity, and related technology services as outlined in a separate Statement of Work (SOW) or service agreement. Service fees, payment terms, and project timelines will be specified in the SOW. Payments are due according to the schedule outlined. Failure to make timely payments may result in suspension or termination of services.
4. Prohibited Activities
You may not access or use our platforms or our services for any purpose other than that for which we make them available. You agree not to use our services to engage in any fraudulent, illegal, or unethical activities. You are responsible for ensuring all materials provided to us (e.g., data sets, internal system access, brand assets) comply with all applicable laws and regulations.
5. Term and Termination
These Terms and Conditions shall remain in full force and effect while you use our platforms or engage our services. Either party may terminate the service agreement with written notice as specified in the SOW. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION, DENY, SUSPEND, OR TERMINATE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Iizuka Software Technologies Limited and you agree that the courts of England and Wales shall have exclusive jurisdiction to resolve disputes arising from or in connection with these Terms, unless otherwise required by law.
